Understanding-first M&A diligence

A human approach
to due diligence

DealOS helps buyers and sellers create understanding — not just exchange documents. Structured conversations replace the endless request list, and ALICE turns every one of them into evidence-backed findings.

Why DealOS exists

Documents are evidence. Understanding is the point.

Traditional due diligence is driven by document requests, spreadsheets and endless back-and-forth. DealOS centres the process on structured expert conversations between buyers and sellers instead.

Traditional data rooms

Documents are primary.
Humans are secondary.

You request a thousand files and hope the thing that matters was in one of them.

DealOS

Human understanding is primary.
Documents are supporting evidence.

You talk to the people who run the business, and ALICE turns what they say into structured findings you can stand behind.

The DEAL framework

From heads of terms to integration

Diligence, deal execution and post-acquisition integration in a single platform — so nothing you learn gets lost at the handover.

  1. Design

Set the process up. Configure the pillars and layers for this particular business, load what you already have, and agree when the conversations happen.

  2. Explore

Build the understanding. Six structured conversations, one per pillar. This is the part that replaces the endless request list.

  3. Assess

Decide. Everything gathered, reviewed in one place, so you can judge whether the deal is viable on what you actually know.

  4. Launch

Lift off. Legals get done, funds move, and the understanding you built carries straight into integration.

Inside Explore

Six pillars. Six conversations.

Explore is broken into six pillars, each with a clear purpose and its own layers of questions. One conversation per pillar, and each one has a question it exists to answer.

People

Whether future performance depends on a robust organisation, or on a small number of individuals whose loss could materially impact the business.

Commercial

Whether the company has a defendable market position and a credible pathway to sustainable future growth.

Operational

Whether the business can consistently deliver its products and services efficiently, profitably and at increasing scale.

Technical

Whether technology, systems and data are enabling the business, or creating hidden operational and commercial risks.

Governance, Legal & Compliance

Whether the business is controlled, compliant and protected from risks that could lead to legal liability, regulatory action, financial loss or reputational damage.

Financial

Whether reported performance reflects economic reality, and whether future cash generation can be predicted with confidence.

How ALICE works

From conversation to owned task — automatically

Autonomous Learning, Intelligence & Curiosity Engine

ALICE knows the target and the process inside out. She listens to every conversation, captures what matters, gathers the evidence, notices what contradicts what, and keeps track of what still isn’t understood. Her job is to protect the buyer from making mistakes.

01

The conversation

Buyer and seller talk through a pillar, live or in person, with ALICE putting the guidance and the next question on the buyer’s screen as they go.

“The two founders own the top ten accounts personally.”
“Is any of that documented or transferable?”
02

Live findings

Facts, risks and gaps surface as they emerge — each grounded in exactly what was said.

Customer relationships are personal to the founders and undocumented.

Owned tasks

Anything ALICE couldn’t get on the call becomes a tracked task with an owner — the buyer approves, the seller responds.

SellerShare the key-account succession plan
BuyerModel retention risk into the offer

One answer, filed everywhere it belongs

Say something on the People call that also explains an operational dependency, and ALICE files it against that pillar too — so it never has to be asked again. Every conversation starts from everything already understood.

After every call

A verdict you can hand to the deal team

Each call closes with a synopsis, the findings that matter, and coverage across every layer — no write-up required.

People — call summary

Completed

A capable, founder-led team with strong domain knowledge — but customer relationships and institutional knowledge concentrate dangerously in two people, with no documented succession or retention plan in place.

Why DealOS

Built for both sides of the table

Nothing gets asked twice

An answer given on one call is filed against every pillar it informs. Later conversations start from what is already known.

A living org chart

Who runs what, who depends on whom, and where the knowledge actually sits — built from the conversation, not a form someone filled in.

Evidence-grounded

Every finding links back to what was actually said, word for word. Auditable, defensible, never invented.

Coverage you can see

Every layer of every pillar is scored on what is genuinely answered, so you know what you understand and what you don't.

Two-sided by design

One deal, two clear views. The buy side gets analysis and coverage; the sell side gets a finite list of what to answer.

Connects to your stack

Google Meet, Xero, TrueLayer and Merge pull the numbers in, so the conversation stays about judgement.

What exactly is DealOS?

DealOS transforms due diligence from a document exercise into a shared process of understanding, decision-making and value creation. It connects diligence, deal execution and post-acquisition integration in a single platform, using the DEAL framework and an intelligence engine called ALICE.

What does ALICE stand for?

Autonomous Learning, Intelligence & Curiosity Engine. ALICE knows the target and the process inside out: she listens to every conversation, captures what matters, gathers evidence, spots risks and contradictions, and works out what still isn't understood. Her job is to protect the buyer from making mistakes.

What is the DEAL framework?

Design, Explore, Assess, Launch — the four phases of a deal on DealOS. Design sets the process up, Explore gathers the understanding through the pillar conversations, Assess is where you judge whether the deal is viable, and Launch is completion and the handover into integration.

When does DealOS start?

From the moment heads of terms are signed. You bring the heads of terms, the information memorandum and whatever early documents you have, and DealOS builds the process around them.

Who is it for?

Both sides of the deal. Buyers get structure, coverage and analysis. Sellers get a clear, manageable list of what to prepare, instead of an open-ended document request that never seems to end. Everyone works from the same source of truth.

Do I still need a data room?

You can keep one, and documents still matter — they are the evidence. The difference is that understanding comes from the conversations rather than a document scavenger hunt, and integrations pull the hard numbers in automatically, so calls stay focused on judgement.
